These Terms of Service ("Terms") govern your use of motherbird.ai and all services provided by Motherbird (ABN pending) ("Motherbird", "we", "us", "our"), including the Motherbird intelligence console, free AI reviews, data integrations, and managed intelligence services. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Motherbird provides a managed AI intelligence service for businesses. Our services include:
(a) Free AI Intelligence Reviews, analysis of publicly available business data, delivered at no cost and with no obligation.
(b) Motherbird Console, a custom-built intelligence dashboard that connects to your existing business tools via read-only API access, analyses your data using artificial intelligence, and surfaces what matters.
(c) Ongoing Management, daily AI-generated insights, data connection monitoring, monthly strategy reviews, and continuous system improvements.
(d) Automation Add-ons, optional modules such as automated review responses, social content generation, email digests, and competitor monitoring.
Free reviews are provided at no cost and with no obligation. The review is based on publicly available data only. We do not access any private systems or accounts to produce a free review. The review is yours to keep regardless of whether you engage our paid services. We reserve the right to limit or discontinue free reviews at any time.
To use the Motherbird console, you will be provided with account credentials. You are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We reserve the right to suspend or terminate access if we reasonably believe your account has been compromised or is being misused.
The Motherbird console connects to your business tools (such as POS systems, CRM platforms, social media accounts, and review platforms) via read-only API access. This means we can view your data to analyse it, but we cannot modify, delete, or export your data from those systems. You authorise us to access the data sources you connect. You may disconnect any data source at any time through the console or by contacting us, and we will cease accessing that source within 24 hours.
All website content, branding, console interface design, AI models, and proprietary methodology remain the intellectual property of Motherbird. Upon full payment of the build fee, the custom configuration of your Motherbird console (dashboard layout, AI prompts specific to your business, and custom reports) is licensed to you for your use. You may not resell, redistribute, or sublicense the console or any part of our service.
Fees for the Motherbird console and services will be agreed in writing before any paid work begins. Unless otherwise agreed: (a) the build fee is due upon project commencement; (b) monthly management fees are billed monthly in advance; (c) automation add-on fees are billed monthly in advance. All prices are in Australian dollars and exclusive of GST unless stated otherwise. We reserve the right to adjust pricing with 30 days written notice.
You may cancel your monthly management service at any time with 30 days written notice. Upon cancellation: (a) access to the Motherbird console will cease at the end of the current billing period; (b) we will disconnect all data integrations within 24 hours of the termination date; (c) any data we hold about your business will be deleted within 30 days unless you request it sooner. The build fee is non-refundable once work has commenced.
Our service uses artificial intelligence to generate insights, suggestions, and content. AI outputs are intended as decision-support tools and should not be treated as professional advice. You acknowledge that: (a) AI-generated content may contain inaccuracies or errors; (b) you are responsible for reviewing and validating any AI-generated content before acting on it; (c) we do not guarantee any specific business outcomes from using our service. We recommend consulting qualified professionals for legal, financial, medical, or other specialised advice.
To the maximum extent permitted by Australian law, Motherbird's total liability to you for any claims arising from or related to these Terms or our services is limited to the total fees you have paid to us in the 12 months preceding the claim. We are not liable for any indirect, incidental, consequential, or special damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.
We aim to keep the Motherbird console available at all times but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime.
You agree not to: (a) use our services for any unlawful purpose; (b) attempt to gain unauthorised access to our systems; (c) reverse-engineer, decompile, or extract source code from our service; (d) resell or redistribute our service without written permission; (e) provide false information during registration or use.
We may update these Terms from time to time. Material changes will be communicated to active clients via email at least 14 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.
These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

(a) Provide, maintain, and improve our services, including the free AI review and the Motherbird console.

(d) Send you information about new features or services, where you have opted in to receive marketing communications.
(e) Comply with legal obligations and protect our rights.

Your Motherbird console connects to your business tools through read-only API access. This means:
(a) We can view and analyse your data to generate insights.
(b) We cannot modify, delete, or export data from your connected systems.
(c) We do not store raw copies of your transaction-level data. We process it to generate aggregated insights and metrics which are stored in your console.
(d) You can disconnect any data source at any time. When you disconnect a source, we stop accessing it within 24 hours and remove associated data from our systems within 30 days.
Your data is processed and stored on servers located in the Asia-Pacific region. We implement appropriate technical and organisational measures to protect your information, including:
(a) Encryption of data in transit (TLS/SSL) and at rest.
(b) Access controls limiting who within Motherbird can view your data.
(c) Read-only connections to your business tools, we never have write access to your systems.
(d) Regular review of security practices.
While we take reasonable steps to protect your information, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.
We do not sell, rent, or trade your personal information or business data. We may share your information with:
(a) Service providers: Third-party services that help us deliver our product (such as cloud hosting providers, AI model providers, and payment processors). These providers are contractually bound to protect your data and may only use it for the purposes we specify.
(b) Legal requirements: If required by law, regulation, legal process, or governmental request.
(c) Business transfers: In connection with a merger, acquisition, or sale of assets, with appropriate confidentiality protections.
We will never use your business data to train AI models for other customers or any third party. Your data exists solely to power your Motherbird.
Our service uses artificial intelligence (including third-party AI models) to process your business data and generate insights. When we send data to AI model providers for processing:
(a) Only the minimum data necessary is transmitted.
(b) Data is encrypted in transit.
(c) We use enterprise-tier AI services that do not use customer data for model training.
(d) AI-generated outputs are stored in your console and are only accessible to you and authorised Motherbird staff.
Our website uses essential cookies to enable core functionality (such as session management). We do not currently use advertising cookies or third-party tracking pixels. If we introduce analytics or marketing cookies in the future, we will update this policy and provide you with the ability to manage your preferences.
Under the Australian Privacy Act, you have the right to:
(a) Access the personal information we hold about you.
(b) Correct any inaccurate or incomplete information.
(c) Request deletion of your personal information, subject to any legal obligations we may have to retain certain records.

We retain your personal information and business data for as long as your account is active or as needed to provide services. Upon cancellation of your service: (a) we disconnect all data integrations within 24 hours; (b) we delete your business data from our systems within 30 days; (c) we may retain basic account information (name, email, billing records) for up to 7 years to comply with Australian tax and business record-keeping obligations.
Our services are designed for businesses and are not directed at individuals under 18 years of age. We do not knowingly collect personal information from children.
